Legal Terms – Capital
capital (share capital) Share capital refers to the financial resources provided to a firm by its shareholders in exchange for ownership shares. These assets exist.

The purpose of this fund is to safeguard the rights of creditors in case a limited company faces financial challenges. The Companies Act 2006 has established regulations to prevent the reduction of this fund unless it is absolutely essential. Every share is given a nominal or par value in order to allow each shareholder to determine their ownership stake and financial obligation to the company. In a corporation operating under the structure of being limited by shares, the extent of a shareholder's financial responsibility is restricted to the amount they have yet to pay for their shares. When a business may set a market price for a share that is higher than its given nominal value, the difference is referred to as a premium. The capital clause of the memorandum of association must provide the total number of shares and their respective nominal values.
