Legal Terms – dissolution
1. The legal cessation of a marriage through a divorce decree, annulment, presumption of death, or the termination of a civil partnership via a dissolution order. 2. The dissolution of a registered company. This can be accomplished upon the conclusion of a winding-up, as delineated in sections 201–03 and 205 of the Insolvency Act 1986, or by the Registrar of Companies removing it from the companies register as “defunct,” due to reasonable grounds to believe that the company is no longer conducting business or has neglected to submit accounts (Companies Act 2006 s 1000). Company directors may petition the Registrar of Companies for the dissolution of the company (Companies Act 2006 § 1003). The firm may be reinstated to the register upon application via petition and the payment of the applicable charge (Companies Act 2006 s. 1024–34).
